RESELLERS AGREEMENT
You may sell our websites to clients and as auctions on sites such as
Ebay/Yahoo/Stormpay and personal web portals. The following are guidelines
for
website sales:
1) You must be an active
member in good standing to resell our Turnkey Websites.
2) Websites must be sold in a complete format as downloaded from our website.
You may add products to make "super sites" to resell such as
combining a hosting with domain registration site, however you may not
split up and sell images/ scripts /software that belong to
3) All websites must be sold with a unique domain name assigned to EACH
website you sell. Sites must be fully developed with a domain name and
hosting prior to being sold on auction sites such as Ebay. Sites may not
be sold in dutch auction. Exisiting domains do not qualify:
a) Websites offering turnkey websites must sell a NEW
domain with the website, or offer a website for salethat has been pre-developed
with an exisiting domain.
b) Ebay and other auction websites must sell te website
PRE-DEVELOPED with a registered domain name. Auctions may not be posted
where a buyer chooses or provides a domain.
4) Sites may only be sold in advance undeveloped online only through your
own website where a customer is allowed to choose a business/design and
domain name and complete a check out. The domain for the site must be
registered before the site is delivered to your customer. Under no circumstances
are websites allowed to be sold without PRE-REGISTERED domains on auction
website. Each auction must be specific to an existing domain and website.
5) Site products/scripts exclusive to
do not come with stand alone resale rights and may not be sold outside
of websites in any way which included templates, packages, CD's or free
or "bonus" items.
6) Software exclusive to
such a DataCrypt do not come with resale rights outside of being sold
as a website with domain name as specified above and may not be sold for
given away for amounts less than specified.
7) Members reselling websites that use third-party products such as software
and scripts are responsible for all fees and license conditions in regards
to reselling and modifications.

8) Members reselling websites are responsible to inform
there clients that website are licensed as intellectual property and may
not be distributed by sale outside of this license or for free.
9) Members reselling websites may not interfere with the
operations of other members. This using webpages, advertising copy, graphics
and materials from other members websites or auctions.

members MUST identify themselves as members for all inquiries.
11)
members MUSTinform their clients that their purchase
is for ONE DOMAIN ONLY.
12)
limited resale rights as outlined in this Terms of Use apply to active
members only and may not be passed on to member clients..
MODIFICATIONS
Members are authorized to make any necessary modification(s) to the
website designs and web products. Customization and modifications do not
overwrite the original copyright ownership registered with the Canadian
Intellectual Property Office and under the jurisdiction of International
Laws. No of websites registered may be altered for sale outside of this
license by non members.
CLAIM OF OWNERSHIP
You may not claim intellectual, copyright or exclusive ownership to
products, modified or unmodified. All products are property of
other than noted in the members area that may belong to third party.
Unauthorized
Use
has a zero tolerance for unauthorized use. Members found engaging in unauthorized
use will be terminate immediately which includes but are not limited to
the following:
1) Promoting, selling or marketing of
products by use of unsolicited bulk or SPAM electronic transmission (email)
is not permitted.
2) Selling portions of
products such as sites, scripts, and software outside of the above reseller
agreement. All sites must be sold complete with a domain name.
3) Using and or promoting
web products for illegal purposes.
4) Place, copy or transfer any
products, modified or unmodified, on a diskette, CD, website or any other
medium and offer them for redistribution or resale unless the websites
are fully-developed, and assigned with a unique domain name.
5) Members interfering with the operations of other members.
Failure to comply or cooperate with these TOS will result
in immediate suspention of your membership.

Product License
Econtent consists of all products not classified as Turnkey
Websites, these include Templates, Logo's, eContent Scripts and products
produced by
Turnkey Websites Builders.
eContent is a product line provided for local web design companies whose
clients hire the respected company to develope an online solution.

Non-Member
Seller Policy
Individuals and companies that sell Prozilla products,
by obtaining from any means other than direct membership of Prozilla.com
will be liable for a Non-Member License fee for every product used for
each six month period. The Non-Member License fee is $99 for six months,
PER product. This includes scripts, graphics, content, used/sold ourside
of our terms of use. Licensees will be sent an invoice for fees which
is due upon receipt. Failure to pay your account will result in
collection after 30 days with an agency representing your company. If

Limitation
of Liablity
ALL SERVICES ARE PROVIDED ON AN "AS
IS, AS AVAILABLE" BASIS. NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING
BUT NOT LIMITED TO THOSE OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE, ARE MADE WITH RESPECT TO THESE SERVICES OR ANY INFORMATION OR
SOFTWARE PROVIDED THEREBY.
Turnkey Websites is in no way responsible for any data loss or damage
arising from viral infection from the Internet.
Turnkey Websites and/or contributors shall have no liability whatsoever
to you for any claim(s) relating in any way to: your inability or failure
to perform research or related work or to work properly or completely,
or any lost profits or consequential, exemplary, incidental, indirect
or special damages relating in whole or in part to your rights hereunder
